Terms of Service Agreement

Welcome to Christian Media Production. These Terms of Service ("Terms") govern your use of our professional media production services and constitute a legally binding agreement between you (the "Client") and Christian Media Production ("Company," "we," "us," or "our"). By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms
By accessing our website, submitting a project inquiry, signing a service agreement, or engaging our media production services in any capacity, you expressly agree to comply with and be bound by these Terms of Service, along with any additional terms, policies, and guidelines incorporated by reference.
1.1 Agreement Formation
A binding service agreement is formed when:
- You sign our written service proposal or contract
- You provide written or electronic acceptance of our quote
- You make an initial payment or deposit for services
- We commence work on your project with your authorization
1.2 Capacity to Contract
By agreeing to these Terms, you represent and warrant that:
- You are at least 18 years of age or the age of majority in your jurisdiction
- You have the legal authority to enter into binding contracts
- If representing an organization, you have the authority to bind that organization to these Terms
- All information provided is accurate, current, and complete
2. Services Description
Christian Media Production provides professional media production services specifically designed for churches, ministries, and Christian organizations. Our comprehensive service offerings include, but are not limited to:

- Live streaming setup, management, and technical support
- Multi-camera worship service production
- Live event broadcast and recording
- Audio mixing and sound engineering for live services
- Lighting design and operation
2.2 Church Production Services
- Weekly worship service video production
- Sermon series video content creation
- Announcement and promotional videos
- Baptism and special event documentation
- Ministry highlight reels
2.3 Music Production Services
- Worship album recording and production
- Studio recording sessions
- Audio mixing and mastering
- Music video production
- Live worship recording
2.4 Conference Production Services
- Full-scale event production for conferences
- Multi-track recording and live streaming
- Stage design and technical direction
- Post-event video editing and distribution

Service Customization: All services are customizable based on client needs, budget, and project scope. Specific deliverables, timelines, and pricing will be detailed in individual project proposals and service agreements.
3. Client Responsibilities
To ensure successful project completion and optimal results, clients agree to fulfill the following responsibilities:
3.1 Information and Materials
- Provide accurate, complete, and timely information necessary for project execution
- Supply required materials, assets, logos, branding guidelines, and content in appropriate formats
- Respond to requests for information, feedback, or approvals within agreed timeframes
- Designate a primary point of contact with decision-making authority
3.2 Site Access and Facilities
- Provide safe and reasonable access to filming locations and facilities
- Ensure adequate parking, electrical power, and workspace for production crew
- Coordinate with venue staff and obtain necessary permissions
- Notify us of any hazards, restrictions, or special considerations
3.3 Schedule Coordination
- Maintain agreed-upon schedules and timelines
- Provide minimum 48-hour notice for any schedule changes
- Ensure availability of key personnel, speakers, or talent as scheduled
- Coordinate with third parties (venues, vendors, participants) as needed
3.4 Legal Compliance
- Obtain necessary licenses, permits, and clearances for filming locations
- Secure talent releases, model releases, and appearance consent forms
- Ensure music licensing and copyright compliance for any music used
- Verify that provided materials do not infringe third-party intellectual property rights
3.5 Review and Approval
- Review deliverables promptly and provide specific, actionable feedback
- Submit revision requests within agreed timeframes
- Provide final approval in writing before project completion
- Understand that late feedback may impact project timelines
4. Intellectual Property Rights
4.1 Ownership of Deliverables
Upon full payment of all fees, the Client receives a perpetual, worldwide, non-exclusive license to use the final approved deliverables for their intended ministry purposes. This license includes:
- Broadcasting and streaming on ministry platforms
- Distribution through social media and websites
- Physical media reproduction for ministry distribution
- Public performance in ministry contexts
4.2 Retention of Rights
Christian Media Production retains:
- Copyright ownership of raw footage, project files, and creative concepts
- Rights to use completed work for portfolio, marketing, and promotional purposes
- Intellectual property rights to proprietary processes, methodologies, and workflows
- Ownership of tools, templates, and resources created or used in service delivery
4.3 Client-Provided Materials
The Client represents and warrants that all materials, content, and assets provided to us:
- Are owned by the Client or properly licensed for use
- Do not infringe upon any third-party intellectual property rights
- Are free from defamatory, obscene, or illegal content
- Include all necessary permissions, releases, and licenses
4.4 Portfolio and Marketing Use
Unless explicitly prohibited in writing, we reserve the right to:
- Display completed projects in our portfolio
- Use project images and videos in marketing materials
- Reference the Client as a customer in promotional contexts
- Create case studies highlighting project outcomes
4.5 Third-Party Content
The Client is responsible for licensing any third-party content including music, stock footage, fonts, or graphics. We can facilitate licensing procurement as an additional service upon request.
Copyright Infringement Indemnification: The Client agrees to indemnify and hold harmless Christian Media Production from any claims, damages, or expenses arising from the use of Client-provided materials that infringe third-party intellectual property rights.
5. Payment Terms
5.1 Pricing and Quotes
All pricing is provided in written quotes or proposals and is valid for 30 days from the date of issuance.
5.2 Payment Schedule
Unless otherwise specified in the project agreement, payment terms are as follows:

5.3 Accepted Payment Methods
- Credit/Debit Cards (Visa, MasterCard, American Express)
- ACH/Bank Transfer
- Business Checks (with 7-day clearance period)
- Wire Transfer (for payments over $10,000)
5.4 Late Payment
Payments not received within 10 days of the due date are subject to:
- Late fee of 1.5% per month (18% annually) on unpaid balances
- Suspension of work until payment is received
- Withholding of final deliverables until full payment
- Potential referral to collections agency
5.5 Additional Costs
The following may incur additional charges beyond the quoted price:
- Scope changes or additional services requested after project commencement
- Revision requests beyond the agreed-upon number of revisions
- Travel expenses outside our primary service area (50-mile radius)
- Third-party licensing fees (music, stock footage, fonts)
- Equipment rental for specialized needs
- Expedited delivery or rush service fees
5.6 Taxes
All prices are exclusive of applicable sales tax, VAT, or other governmental taxes and fees. The Client is responsible for all applicable taxes unless a valid tax-exempt certificate is provided prior to invoicing.
Ministry Discounts: We offer special pricing consideration for registered 501(c)(3) non-profit organizations and churches. Please inquire about available discounts when requesting a quote.
6. Project Deliverables and Timelines
6.1 Deliverables Specification
All project deliverables will be clearly defined in the project proposal or service agreement.
6.2 Timeline Estimates
Project timelines are estimates based on project complexity, client availability, current production schedule, and third-party dependencies.
6.3 Timeline Delays
Timeline adjustments may occur due to delayed client feedback, scope changes, missing materials, force majeure events, or technical issues beyond our control.
6.4 Revision Policy
Standard projects include a specified number of revision rounds as detailed in the project agreement. Additional revisions beyond the included amount may be billed at our standard hourly rate.
6.5 Final Delivery
Final project deliverables are provided upon receipt of final payment, written client approval, and completion of all agreed-upon services and revisions.
6.6 File Retention
We retain project files for 90 days following final delivery. Extended file retention can be arranged for an additional archival fee.
7. Cancellation and Refund Policy
7.1 Client Cancellation
Clients may cancel projects by providing written notice. Refunds are calculated as follows:

7.2 Event-Based Cancellation
For live events, conferences, and scheduled production dates:
- 30+ days notice: Full refund of deposit minus 10% booking fee
- 15-29 days notice: 50% refund of deposit
- 7-14 days notice: 25% refund of deposit
- Less than 7 days notice: No refund; full payment due
7.3 Weather and Force Majeure
If productions are cancelled due to weather or force majeure events, we will work with you to reschedule at no additional charge. If rescheduling is not possible, a prorated refund will be provided.
7.4 Company Cancellation
If we must cancel due to circumstances beyond our control, we will provide a full refund of all payments received and assist in finding alternative service providers if possible.
7.5 Refund Processing
Approved refunds will be processed within 14 business days via the original payment method.
8. Liability Limitations
8.1 Professional Standards
We commit to delivering services with professional care, skill, and diligence consistent with industry standards. However, we cannot guarantee specific results, outcomes, or audience responses to produced content.
8.2 Maximum Liability
Our total liability for any claims arising from or related to services provided shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
8.3 Exclusion of Consequential Damages
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business opportunities, loss of data, reputational harm, or costs of procurement of substitute services.
8.4 Equipment and Technical Limitations
While we use professional-grade equipment and maintain redundant systems, we are not liable for technical failures, equipment malfunctions, or data loss beyond our reasonable control.
8.5 Third-Party Services
We are not responsible for the performance, availability, or actions of third-party services, venues, vendors, or platforms utilized in project delivery.
8.6 Client Indemnification
The Client agrees to indemnify and hold harmless Christian Media Production from any claims, damages, losses, and expenses arising from Client-provided content that infringes third-party rights, Client's use of deliverables in violation of these Terms, or Client's breach of representations or warranties.
8.7 Insurance
Christian Media Production maintains general liability insurance covering our operations. Clients requiring proof of insurance may request a certificate of insurance.
Important Notice: These liability limitations represent a negotiated allocation of risk and are fundamental elements of the basis of our bargain. The limitations in this section apply to the fullest extent permitted by applicable law.
9. Dispute Resolution
9.1 Good Faith Negotiations
In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith negotiations within 30 days of written notice.
9.2 Mediation
If the dispute cannot be resolved through direct negotiations, the parties agree to submit to mediation before a mutually agreed-upon mediator. The parties will share mediation costs equally.
9.3 Binding Arbitration
If mediation does not result in resolution within 60 days, any remaining dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator's decision is final and binding.
9.4 Exceptions to Arbitration
Either party may seek equitable relief in court for protection of intellectual property rights, enforcement of confidentiality obligations, collection of undisputed amounts, or urgent injunctive relief.
9.5 Class Action Waiver
Both parties agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
10. Governing Law
10.1 Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State in which Christian Media Production maintains its principal place of business, without regard to its conflict of law provisions.
10.2 Venue
Subject to the arbitration provisions in Section 9, any legal action shall be brought exclusively in the state or federal courts located in our principal business jurisdiction.
10.3 Severability
If any provision of these Terms is found to be unenforceable, that provision shall be limited to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
10.4 Entire Agreement
These Terms, together with any executed service agreements and proposals, constitute the entire agreement between the parties and supersede all prior oral or written agreements.
11. Amendments to Terms
11.1 Right to Modify
We reserve the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Changes will become effective immediately upon posting to our website.
11.2 Notification of Changes
Material changes will be communicated through an updated "Last Updated" date, email notification to active clients, and prominent notice on our website.
11.3 Acceptance of Revised Terms
Continued use of our services following notice of changes constitutes acceptance of the revised Terms.
